Selling Your Business

You'll probably only sell your business once so you want to get it right. The key to success lies in preparing your business for sale; making sure that it presents as attractive a proposition as possible to a potential buyer.

Remember, it's never too early to start planning to make this happen. In fact, the best time to sell your business is when you don't have to.

We can guide you through every stage, identifying issues that need to be resolved, both before and during the sale process. Above all, using us will let you do what you do best - run your company.

MBOs and MBIs

A management buy-out (MBO) is an opportunity for management to acquire the business they work in and the chance to make significant financial gain.

Buy-outs are essentially two linked transactions: the purchase of a business and a substantial fundraising exercise usually involving both a bank and a venture capitalist/private equity house.

We can assist you to get the best deal throughout your process with our negotiating ability, preparation of a robust business plan, financial forecasts, knowledge of funders and experience of the buy-out process.

In addition we have dedicated research capability and an extensive network of contacts to source transactions for prospective Management Buy-In (MBI) candidates.

It was a pleasure to work with Critchleys. The team was dedicated to making the deal work. Their negotiation and communication skills kept everything on track

Due Diligence

Due diligence is an increasingly important part of any acquisition or investment, and usually a pre-requisite for banks and venture capitalists.

Deal consideration is often based upon the forecast earnings of the business and its underlying assets. To ensure that the appropriate price is paid, it is important to ensure that any representations made by the vendors are verified.

Due diligence can also uncover "skeletons in the closet" that might alter your decision to acquire or invest in the business.

At Critchleys, we have a dedicated team with considerable transaction experience who can undertake this verification exercise. We work closely with our pension, tax and VAT experts to ensure that all angles are covered.

Mergers and Acquisitions

Growth by acquisition can be a good strategy in terms of increasing market share and profitability. However, when you are buying a business, you need to be absolutely sure that what you think you are buying agrees with what you are actually buying.

Critchleys corporate finance team can support you at every stage of an acquisition, providing independent valuation of the target, negotiating on your behalf and securing the most appropriate deal for you.

We can perform financial due diligence on the target to produce a structured report on the financial health of the company, detailing the relevant issues and risks that should be taken into account.

Raising Finance

Raising Finance

Whether for an expansion, MBO/MBI, or restructuring, it is important to approach raising funds in a systematic way so as to maximise your chances of success.

By identifying the most appropriate finance structure and source of funding before you start looking, you will be able to approach the right individual or institution with confidence.

Using our extensive experience and network of funding and professional contacts we will identify the most appropriate sourcing for your business, be it private equity house, a business angel or improved bank facilities, lead negotiations and compare competing offers from potential funders.
