Due diligence is an increasingly important part of any acquisition or investment, and usually a pre-requisite for banks and venture capitalists.

Deal consideration is often based upon the forecast earnings of the business and its underlying assets. To ensure that the appropriate price is paid, it is important to ensure that any representations made by the vendors are verified.

Due diligence can also uncover ‘skeletons in the closet’ that might alter your decision to acquire or invest in the business.
