Changes to the Annual Return

Updated Classifications

Another proposed change, on and after 1 October 2011, is the introduction of updated classifications. The trade classification code numbers, also known as the SIC codes, are used to describe companies principal business activities. The update will include new codes for the following companies:

• Non-trading
• Residents’ property management
• Dormant

This change will align the codes with the UK Standard Industrial Classification of Economic Activities 2007, prepared by the Office for National Statistics. 

Form RP04 – Second filing of a document previously delivered

As from April 2011, Form RP04 second filing for certain document types previously filed at Companies House will be made available on the Ch website. This form will be used to correct information that has been properly delivered but in which inaccuracies still appear on the register held at Companies House. Such documents will include the Annual Return (AR01), Change of director’s details (CH01), Appointment of director (AP01), Appointment of secretary (AP03), and Return on allotment of shares (SH01).

Limited Liability Partnerships are expected to use the LLP version of the RP04 known as the LLRP04 that is also available for download on the Ch website.

However, it is important to note that these forms can be submitted only as paper forms and not electronically for the affected documents filed at Companies House on or after the 1 October 2009.

The Companies House (CH) eReminder service

The eReminder service is a free, convenient and effective way by which CH will like to remind companies when their accounts and annual returns are due to be filed.

This is an alternative to sending the usual paper reminders to the companies’ registered office address.  Instead, CH will send an electronic version of the reminders to the email addresses chosen and registered by the companies. Interested companies have the option of registering up to four (4) email addresses.
